Shepard & Read serves as the Clerk and Registered agent for over 130 small business entities, most of which we formed originally for our clients. The types of entities range from corporations to limited liability companies and partnerships and cover a wide range of business activities.  We are well versed in drafting corporate minutes, bylaws, stock and shareholder agreements, resolutions and other required documentation, to include Operating Agreements and the like for limited liability companies.  In our role as Clerk and Registered Agent, we attend to the required annual filings with the Secretary of State’s office and assure that our clients are compliant with Maine law in terms of all statutory matters.  We employ a paralegal who handles all of the electronic filings and other notifications and pride ourselves in having developed a very streamlined approach to handling the annual filing requirements.

In the context of our corporate and business entity practice, we have participated in the purchase and sale of numerous businesses both from an asset transfer and stock purchase approach.
